These Terms & Conditions (“Terms”) form a binding agreement between you and Mindsprig (“Mindsprig”, “we”, “us”) and govern your access to and use of the Mindsprig web application and marketing site (the “Service”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

You must be at least the age of majority in your place of residence, or the minimum age required by your local law to consent to online services, to use Mindsprig. By using the Service you represent that you meet this requirement and that the information you provide is accurate.

You are responsible for safeguarding your account credentials and your encryption password, and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use.

Because Mindsprig is end-to-end encrypted, your password protects data that we cannot access on your behalf. Keeping it safe is your responsibility.

You agree not to use the Service to:

• break any applicable law or infringe the rights of others;
• attempt to gain unauthorized access to the Service, other accounts, or our systems, or to probe, scan, or disrupt their integrity or performance;
• reverse engineer, resell, or build a competing service from the Service except to the extent this restriction is prohibited by law;
• transmit malware, or use the Service to generate or distribute unlawful, harmful, or abusive content.

We may suspend or terminate access that we reasonably believe violates this section.

Mindsprig lets you connect your own API keys for third-party AI providers. When you send a message, its content is transmitted to the provider you have chosen so that it can generate a response. That transmission, and the provider's handling of your content, are governed by the provider's own terms and policies, not these Terms.

You are responsible for your use of any third-party provider, including any fees they charge and compliance with their terms. Mindsprig does not control and is not responsible for third-party providers or their outputs.

AI models can produce inaccurate, incomplete, or otherwise unreliable output. You are responsible for evaluating output before relying on it, and you must not treat it as professional, legal, medical, or financial advice. The Service is a tool to assist your thinking, not a substitute for your own judgment.

The Mindsprig workspace is free to use. A paid plan buys durable storage of your encrypted work outside your device, synchronised across the devices you sign in on. Plans are €3.99 per month or €39.99 per year.

Without a paid plan nothing you write is uploaded, so no copy exists anywhere but on your own device. We hold nothing and cannot recover your work if that device or its browser data is lost.

Paid plans are sold and billed by Stripe, acting as the merchant and seller of record. Stripe is the seller for your purchase: it collects payment, charges and remits any applicable sales tax, VAT, or GST, and issues your receipt or invoice. By subscribing, you authorize recurring charges to your payment method until you cancel. Prices may change; we will give notice of changes before they take effect for your next billing period.

You may cancel at any time, and cancellation takes effect at the end of the current billing period. When a plan ends, synchronisation stops and the workspace keeps working locally. The encrypted copy we already hold is retained, not deleted, and synchronising resumes if you subscribe again.

We do not ourselves provide refunds or credits for partial billing periods or unused time. However, because Stripe is the seller of record, Stripe may grant a refund at its discretion within 60 days of purchase, and where your local law gives you a statutory right of withdrawal or a cooling-off period, that right applies and takes precedence over this section.

Questions about a charge, invoice, or refund are handled by Stripe as seller of record. You can reach Stripe from the receipt emailed to you at the time of purchase. Questions about the Service itself remain with us.

The Service, including its software, design, and branding, is owned by Mindsprig and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

You retain all rights to the content you create. Because your content is end-to-end encrypted, we do not claim any license to read, use, or distribute it.

Mindsprig is a zero-knowledge system: your encryption key is derived from your password and never leaves your device. At sign-up you receive a one-time recovery code that wraps the same key, giving you a second way in if you forget your password. If you lose both your password and your recovery code, we cannot recover your data — there is no backdoor and no password reset that preserves your encrypted content. You accept this limitation as an intentional property of the Service.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will meet your requirements. You use the Service at your own risk.

To the maximum extent permitted by law, Mindsprig and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or EUR 50.

You agree to indemnify and hold harmless Mindsprig and its operator from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms or of any law or third-party right.

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends, while the sections that by their nature should survive (including disclaimers, limitation of liability, and indemnification) will continue to apply.

We may decide to discontinue the Service entirely. If we do, we will give active paying subscribers at least 30 days' notice by email before the shutdown date, and we will stop all further billing so that no new charges are made after that notice.

Notwithstanding the non-refundable terms above, if we discontinue the Service we will refund the unused, prepaid portion of your subscription covering the period after the shutdown date, on a pro-rata basis.

You are responsible for keeping local copies of your data before the shutdown date. Because Mindsprig is end-to-end encrypted and stores your readable data only on your device, we cannot export or recover your data on your behalf — only you hold the key. We may permanently delete remaining data 30 days after the shutdown date.

We may update these Terms as the Service evolves. When we make material changes, we will revise the “Last updated” date at the top of this page. Your continued use of the Service after an update means you accept the revised Terms.

These Terms are governed by the laws of the jurisdiction in which the operator of Mindsprig is established, without regard to its conflict-of-law rules. You agree to the exclusive jurisdiction of the courts located there for any dispute that is not subject to mandatory consumer-protection rules in your place of residence.
